To answer (parts) of your question, the textures are in the data.pak folder, in the subfolder _(Model) > Creatures > *faction name* > *creature name*

You need to be able to open .dds files to change the textures. Once you've changed them, make a .pak file in the data folder with the same folder structure as the data.pak folder containing the new file (i.e. create this structure: MODFOLDER > _(Model) > Creatures > *faction name* and put the new texture .dds file in the folder). The game will then use the new texture instead of the old one.

The MODFOLDER should be a .pak file, which is effectively a .zip file renamed to .pak. Also read the thread about submitting a Mod, I think the details are explained there.

Open the .pak with some .zip extractor/converter thingy.  (you can find them online)

convert the textures to .jpg or .tga or whatever, and edit them with Paint, GIMP, Photoshop, etc.  for help on converting the files into a useable format, type "dds converter" into your search bar to find a program.

Her is a black skeleton re-textured.
This is my first HoM&M re-texture.
So it is not good.
Her it is:

But my texture only shows on the map, not in battle-mode and creature info-mode.
How can I fix that?

The image files used by Heroes 5 are ".dds" image files. Use Photoshop to convert the images to .pds (photoshop files) and then edit them in Photoshop.

The skins are divided into several texture types. Using the Skeleton as an example:
The "skeleton.tga.dds" is the main model, which has a "skeleton_mirror.tga.dds" to edit the "shiny parts" of the model.

And then there is the adventure map model:
"skeleton_LOD-skeleton_LOD.(texture).dds", which is the same image as the "skeleton.tga.dds but with half size, 256x256 (the normal image is 512x512)

The icon files are in 4 different sizes: 32x32, 64x64, 128x128 and 55x55. The names are like: "ico_skeleton_64.dds".

You can use image in .bmp, .png, .jpg or almost every type of image, open the pics with photoshop or this tool and save it like .dds in 32 bit

There can also be more image files if the skin consists of 2 or more parts, like the Black Knight (where you have additional files for the horse and weapon).

You can edit the biggest of the two skin files first, in this case the "Skeleton.tga.dds". Made the changes, save it and then after You have saved everything, resize the image from 512x512 to 256x256 and saves the file in ".psd" file.

Convert the two files in .DDS. And then place the files in their respective folders.

P.S.

If you want to use Photoshop you need this Plug-in.

I know how to convert the texture-files to .tga file.
But I only find one texture.
SkeletonWarrior_LOD-SkeletonWarrior_LOD.(Texture).dds
That is the name at the texture I found
The are no more skeleton warrior textures.
