2nd one: Creep. Something like zerg have in starcraft - during combat battlefield is being covered with creep (few squares/round). Demons on creep gain benefits.

^^gating was the first proposal...for the second, I give some to choose from:
Creep (like bludge suggested)
OR
Shadow Mantle (The hero is surrounded by a cloak of shadow, through which enemies can barely look = highly reduced enemy army sight. Sub-skills add effects to the Mantle, such as fear for the enemies, etc.) Suggested this for dungeon allready, i know, but it also fits the dark abyss well, imo...
OR
Direct Summon (Better name needed. For an amount of mana, troops in an Abyss town of you can be directly recruited at the Blood Lord's postition)
OR
Soul Gathering (for every being with a soul killed by the blood lord or his units, the blood Lord gains a Soul. With souls, powerfull abilities can be used)

1. How shall it work with the racials?
Heroes begin with one of the racials and can only have this racial. the racials are divided 50/50 among the heroes
OR
Heroes begin with both racials
OR
Heroes begin with one racial, and can obtain the other during leveling up, like a normal skill
OR
Heroes begin without racial, and can obtain one of the racials during leveling up, like a normal skill. It's, so, up to your choice, which racial' they'll get
OR
HEroes begin without racial, and can obtain the racials during leveling up, like a normal skill
...We need neutrals aligned to the factions, still.
Now is your chance. Propose one neutral unit for
2. Haven
3. Necropolis
4. Rampart
5. Stronghold
6. Dungeon
7. Abyss
8. Keep
9. Sanctuary
10. Fortress
11. We also...haven't discussed the upgrade issue yet...
one upgrade for every unit
OR
two upgrades for every unit (like in H2 green > red > black dragon)
OR
alternate upgrades for every unit (like in H5 TotE Unit > upgrade/alternate)
OR
assymetrical upgrades = sometimes one upgrade, sometimes no, sometimes 2, sometimes alternate,...
